Profile and Expertise

Karen started pupillage with the equity capital markets department of one of the largest local law firm in Singapore, specialising in IPOs and other listed companies matters. She subsequently expanded her practice into mergers & acquisitions work and other corporate work in both the domestic and the international market.

Karen’s early practice at DLA Piper Singapore was focused on telecommunications law, where she advised and supported Motorola’s corporate department and assisted on bid submissions and contract negotiations with major telecommunication companies. She was later recruited by the then-Managing Partner of DLA Piper Singapore, in his move to set up the Singapore office for Eversheds LLP. She continued to build on her mergers & acquisitions and telecommunications practice as a senior associate at Eversheds LLP.

Karen has also been acting for numerous charitable foundations and institutions, including the City Harvest Church and an independent Singapore based theatre production company on their corporate related matters and advising them on their ongoing compliance obligations. Her current practice at JLC Advisors LLP includes mergers & acquisitions, joint ventures and corporate finance.


Mergers & Acquisitions
・Assisting and advising a group of companies in Singapore in its proposed initial public offering and listing on the HKSE.
・Assisting and acting for a Japanese conglomerate in its proposed acquisition of the Southeast Asian businesses of a SGX-ST mainboard listed company.
・Advised and acted for a major Indonesian property developer for its bid for the environmental engineering business division of a SGX-ST mainboard listed company.
・Assisting and acting for the subsidiary of a HKSE-listed company in relation to its acquisition of a shipping business in Indonesia and other corporate matters.
・Advised and acted for the City Harvest Church in the acquisition of a substantial stake in Suntec International Convention and Exhibition Centre.
・Advised and acted for a regional leader in the field of fibre reinforced polymer composite technology in its sale of the entire business in the Asia Pacific region to a NASDAQ-listed corporation.

Corporate & Commercial
・Assisting and acting for a Singapore-based renewable energy project developer to develop and operate renewable diesel projects in the USA.
・Advised and acted for a Malaysia-based algae farm contractor on an engineering, procurement and construction contract for the installation of modular microalgae oil cultivation facilities in Malaysia.
・Advised and acted for Kanyan Capital Ltd, in its acquisition of various telecommunications licences and frequencies in Uganda and associated transactions and the conclusion of Kanyan Capital's technical partnership with the Essar Group to provide telecommunications services in Uganda through the establishment of a GSM network.
Supported the daily sale and marketing operations of the Mobile Device Business division of Motorola in Asia, including Thailand, Vietnam, Malaysia, Singapore, Philippines, Indonesia, Korea, Australia and New Zealand.
Supported the Homes & Networks Business division of Motorola in Asia and assisted in bid submissions and contract negotiations with major telecommunication companies including Airtel, AccessTel, Optus, TATA.
・Advised and acted for the City Harvest Church in their S$50 million loan facility granted by a private company and the refinancing of the same by a subsidiary of the Vibrant Group Limited.
