Mai is a Vietnamese qualified lawyer. She was once described by a worthy person who inspired her in this career as “driven and dedicated in to the art of lawyering”.

Mai has been involved in various foreign investment projects in a cross-functional environment and provided advice on various sectors relating to M&A, corporate, commercial and investment law, energy and renewable sectors, labour, technology and data protection in Vietnam.

She will support to provide legal advice for clients with respect to M&A deals, labor, corporate and investment matters.

• At One Asia Lawyers, served as the legal subject-matter lead across the following transactions, with primary responsibility for legal due diligence, structuring, regulatory advice, execution, and quality control of legal deliverables:
  
  ▶ Manufacturing and Industrial
  • Advised a Japanese investor on the closing workstreams for two separate acquisitions involving targets specializing in laundry and cleaning services for textile and fur products, with a customer base consisting of major hospitals across multiple provinces in Vietnam.
  • Advised a Japanese manufacturing investor on acquisition financing structuring involving a loan from the target company (with a two-tranche payment structure), legal due diligence on a target plastic manufacturing factory, and closing procedures.
  • Advised a Japanese manufacturing group on the acquisition of 100% equity interest in a target group engaged in the manufacture of plastics, sewing machine components and metal products.
  • Advised a foreign industrial investor on the acquisition of 100% equity interest in a Vietnamese target engaged in the manufacture of metal components and installation of machinery and industrial equipment.
  • Advised a Japanese industrial investor on the acquisition of 100% equity interest in a Vietnamese company engaged in the manufacture of electronic components.
  • Advised a Japanese manufacturing investor on the legal audit of a Vietnamese company engaged in the manufacture of plastic products.

  • Advised a Japanese investor on the acquisition of a target company operating in software development and gaming.
  • Advised a Japanese investor on the acquisition of 100% equity interest from seven (7) sellers in a Singapore-based group operating in computer programming / IT services.
  • Advised a Japanese consulting and technology investor on the acquisition of 100% equity interest in a Vietnamese target operating in software publishing.
  • Advised a foreign technology investor on the acquisition of 84% equity interest in a Japanese company with a Vietnam affiliate operating in IT services.
  • Advised a Japanese investor on legal due diligence, deal structuring, and the issuance of Series B preference shares in connection with an investment in a Singapore-based group with subsidiaries operating a wedding planning business and an online bridal platform.

  • Advised a Japanese logistics group on the acquisition of an 85% equity interest in a Vietnamese company operating in road and inland waterway freight transport, packaging, express delivery, ship agency, logistics and multimodal transport services.
  • Advised a Japanese logistics investor on the acquisition of a 35.1% equity interest in a Vietnamese logistics company.
  • Advised a Japanese investor on its acquisition of a 49% equity interest in a Vietnamese restaurant chain through subscription for newly issued shares.
