Chau has prior experience working at law firms before joining One Asia Lawyers Vietnam Office. She has advised a wide range of domestic and international clients on cross-border M&A, corporate governance, banking and offshore financing, and regulatory compliance matters in Vietnam.
At One Asia Lawyers Vietnam, Chau supports the firm’s lawyers in advising clients on complex corporate transactions, legal due diligence, corporate restructurings, and licensing and regulatory procedures.

  • Conducting comprehensive legal due diligence for investment and M&A projects.
  • Drafting and reviewing transactional documents, including including Term Sheets, SPA, SSA, and SHA.
  • Drafting corporate authorization dossiers, GMS/BOM meeting minutes, resolutions, and corporate restructuring documentation.
  • Coordinating cross-border legal and compliance workstreams cross multiple stakeholders.

  • Drafting and revieweing cross-border loan agreements, security agreements, asset registration dossiers, and guarantee structures.
  • Preparing and successfully registering offshore loan agreements and security assets with the State Bank of Vietnam and relevant licensing authorities.
  • Drafting and reviewing commercial agreements, service contracts, NDA for corporate clients.
