• M&A, Investment & Corporate:
  • Drafting and reviewing transaction documents, including Share Purchase Agreements, Shareholders' Agreements, merger agreements and other relevant documents.
  • Assisting with M&A transactions involving foreign-invested enterprises, including corporate and investment procedures, internal approvals, regulatory filings and post-transaction matters.
  • Advising Vietnamese and foreign-invested enterprises on corporate establishment, restructuring, market entry, conduct legal reviews, and address legal issues related to investment and corporate matters.
  • Preparing and reviewing corporate documents, including charters, members'/shareholders' resolutions, notices, powers of attorney and other internal corporate documents.
  
  Employment, Data Privacy & Regulatory Compliance
  • Drafting and reviewing labor-related documents, non-disclosure agreements and termination documents.
  • Advising enterprises on various employment-related matters.
  • Providing legal advice on personal data protection compliance, reviewing internal policies and documents.
  • Advising on and drafting documents relating to technology transfer and the registration of technology transfer agreements.
