Mai is a Vietnamese qualified lawyer. She was once described by a worthy person who inspired her in this career as “driven and dedicated in to the art of lawyering”.
Mai has been involved in various foreign investment projects in a cross-functional environment and provided advice on various sectors relating to M&A, corporate, commercial and investment law, energy and renewable sectors, labour, technology and data protection in Vietnam.
She will support to provide legal advice for clients with respect to M&A deals, labor, corporate and investment matters.

◆ M&A transactions, Energy & Renewable Sectors
• Assisting a Singaporean fund with its potential acquisition of a nearshore wind power project in Vietnam, including due diligence on regulatory and real estate matters (sea area assignment).
• Assisting a Singaporean with its high-level due diligence on nine (09) target companies implementing rooftop solar power system and drafting asset transfer agreements.
• A Singaporean private fund on its acquisition of a finance platform targeting clean energy installation for residential and SME end-users in Vietnam on its legal due diligence (“LDD”), transactions (SHA, SSA, CLA) and closing documents in both Singapore and Vietnam levels.
• Assisting a Korean investor with its performance of LDD of three target companies focusing on solar power systems, including reviewing EPC contracts, grid connection agreement, relay agreement, metering agreement, SCADA agreement, power purchase agreement, insurance contracts, etc.
• Providing ad-hoc legal advice a leading global developer, service supplier, distributor and solutions provider and have brought over 4 GW of energy online and manage over 10 GW of assets on its various regulatory matters in Vietnam.
• Assisting a Japanese investor with its investment in a target company focusing on mineral and mining exploration with the design capacity of about 200,000 tons of crude ore per year.
• Providing legal advice to a Singaporean private fund on its acquisition of a leading entity within the realm of electric vehicle charging infrastructure in Vietnam on its LDD, transactions (SHA, SSA) and various closing documents in both Singapore and Vietnam levels.
• Buy-side LDD on a company mainly engaging in brokerage insurance.
• Sell-side LDD on a M&A deal and reviewing the transaction (i.e., Letter of Intent, NDA, SPA, SHA, etc.) on a company mainly focusing on retail activities.
• Assisting a Singaporean private fund with its acquisition of a platform providing smart Internet-of-Things solutions, telecommunication equipment and Lighting-as-a-Service offering in Vietnam.
• A Japanese investor on its acquisition of an International Sea-Air Freight Forwarding and Logistics Company based in Vietnam.
• A Japanese investor on its acquisition of a Vietnamese company focusing on sending laborers to work in Japan, training long-term engineers, study abroad scholarships, and Japanese language training courses.
◆ Foreign market entry; Commercial & Investment
• Providing legal advice to a USD1 billion factory that specializes in toy production in its investment in Vietnam on providing legal advice on a wide range of matters (i.e., restrictions on products, its establishment, operations, investment scheme, land, construction, capitals, etc.).
• Assisting a global engineering, procurement, consulting and construction company specializing with infrastructure development on the establishment of its project offices to be main contractors for two wind projects in Vietnam and preparing contracts to be signed with its sub-contractors.
• Assisting a trading company for technical components with modifying several contract templates to be used for its suppliers in Vietnam such as non-disclosure agreement, non-competition agreement and purchase order.
• Providing legal advice to a footwear company on structuring its investment project transfer, drafting deposit agreement and loan agreement.
• Providing legal advice to a leading brand in lifestyle footwear with respect to reviewing the terms and conditions of the exclusive distribution agreement with its distributor in Vietnam.
• Providing legal advice to a kiwifruit provider on its setting up subsidiaries in Vietnam and drafting service agreements to be signed with its subsidiary in Vietnam.
• Assisting various NGOs in Vietnam with their operation activities, including onshore and offshore funding to be complied with Vietnamese law.
• Reviewing and revising Anti-Money Laundering policy of a largest casino in central Vietnam invested by a Singaporean investor.
◆ Labor, Employment, ESOP
• Involving directly in employment team to provide legal advice on employee matters for the liquidation of an Indonesian company and its branch in the process of business integration with a major hospitality provider in South-East Asia.
• Assisting various foreign invested companies in the lay-off and/or transfer of their employees to other entities in Vietnam.
• Providing legal advice to a Japanese company mainly engages in the provision of architectural design services in its hiring Vietnamese employees without setting up commercial presence in Vietnam.
• Providing legal advice for a Singapore company specializing in logistics services in its ESOP long-term incentive plan and its vesting plan.
• Drafting ESOP and registering to State Bank Vietnam for a FMCG Singapore company.
• Advising optimal options for CEO of a labor outsourcing company to satisfy the conditions applicable to the legal representative for the issuance of the labor outsourcing license.
• Preparing and registering internal labor rules with DOLISA for various foreign invested companies.
• Advising an IT-company on its bonus policy and drafting the KPI provisions for their assessment to employees.
• Part of the team that performed fraud risk assessment of various Japanese manufacturing companies based on the forensic investigation into digital evidence, pertaining to non-compliance with organization policy and vendor selection process, assessment of evidence pertaining to misappropriation of company assets, kickback received from vendors and potential manipulation of vendor selection process from labor, civil and criminal perspectives).
