With over 6 years of experience, he has provided comprehensive legal services to more than 200 corporate clients across diverse industries.

Nithiwit has intense and extensive experience in drafting and reviewing over 1,000 commercial contracts, conducting over 30 legal due diligences and advising on acquisition and business transfer, including, negotiating and implementing the process of acquisition, outlining terms and structure for acquisition, preparing share purchase agreement, business transfer agreement, shareholder agreement, director service agreement. He regularly engages with key regulatory authorities, including the Securities and Exchange Commission (SEC) and the Anti-Money Laundering Office (AMLO). His practice encompasses a wide range of business-related legal areas, with particular strength in financial law, capital markets law, cryptocurrency law, and data protection law. • • Conducting legal due diligence for acquisition of multi-national companies and implementing the process of acquisition, including, creating term sheet for acquisition and drafting the agreements corresponding to term-sheet, including, the share purchase agreement, entire or partial business transfer agreement, shareholder agreement, director’s service agreement, etc.
  • Conducting legal audit for ensuring the compliance with the law of corporate affairs.
  • Drafting, reviewing and providing legal opinion on various business contracts, letters, and legal documents, for instance, shareholder agreement, joint venture agreement, entire or partial business transfer agreement, service agreement, master sale and purchase agreement, concession agreement, distribution agreement, licensing agreement, franchise agreement, agreement to sell and to purchase of real-estate, EPC (engineering, procurement and construction agreement), lease agreement, brokerage agreement, non-disclosure agreement, settlement agreement, novation agreement, right transfer agreement and notice of payment.
  • Providing legal services for day-to-day operations and corporate affair, for instance, legal advising on the management of limited companies, foreign business restriction matters, internal compliance, human resource, management, and drafting and reviewing corporate documents, for instance, article of association and work rules for corporate clients.
  • Providing company set-up services for both Thai and foreign investors starting businesses in Thailand, for instance, pre-investment research, qualifications and requirements for starting a target business in Thailand, company structure design, company registrations, license obtaining support and BOI project support.
  • Researching on various legal matters and providing legal opinion and feasibility report to clients, for instance, corporate and commercial matters, mutual and private fund, cryptocurrency business, anti-money laundering, financial institution, money exchange, dispute resolution, disciplinary actions and labor dispute, personal data protection, etc.
  • Establishing and assisting the establishment of anti-money laundering system in compliance with AML/CTPF law and regulations for financial institution and other financial and security business, including drafting and reviewing the relevant documents and providing advice.
  • Establishing and assisting the establishment of personal data protection systems in compliance with personal data protection law for various companies, including drafting and reviewing the relevant documents and providing advice.
  • Liaising with third party, outsource company and government authority, including, BOT, AMLO, SEC and DOPA.
